1. Account Registration

License to Use:

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include any right to:

Resell, sublicense, or commercialize the Services
Copy, modify, or create derivative works
Reverse engineer, decompile, or disassemble the Services
Remove any proprietary notices or labels

Your Content: If you submit content to our Services, you retain ownership of your intellectual property rights. However, you grant us a worldwide, royalty-free license to use, reproduce, modify, and display your content for the purpose of providing the Services.

Price Changes: We reserve the right to change our pricing at any time. We will provide notice of price changes for subscription services at least 30 days in advance.

6. Termination

By You: You may stop using our Services at any time. For subscription services, you may need to follow specific cancellation procedures.

By Us: We may suspend or terminate your access to the Services if:

You violate these Terms
We suspect fraudulent or illegal activity
Required by law or government request
We discontinue the Services

Effect of Termination:

Service Availability:

To the maximum extent permitted by law, Zairotics and its affiliates shall not be liable for:

            Excluded Damages:
            Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Business interruption or loss of business opportunity
Damages related to third-party products or services

          

Total Liability: Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the greater of (a) $100 or (b) the amount you paid us for the Services in the 12 months preceding the claim.

Note: Some jurisdictions do not allow the exclusion or limitation of liability, so some of these limitations may not apply to you.

9. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution:

Any disputes arising from these Terms shall be resolved through the following process:

Informal Negotiation: Parties shall attempt to resolve disputes through good faith negotiation for at least 30 days
Mediation: If negotiation fails, parties shall attempt mediation before pursuing litigation
Jurisdiction: Any legal proceedings shall be brought in the courts located in Noida, Uttar Pradesh, India

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitrations.

10. Changes to Terms

We may modify these Terms at any time. When we make changes, we will:

Update the "Last Updated" date at the top of these Terms
Post the updated Terms on our Site
For significant changes, provide additional notice (such as email notification)

Your Continued Use:

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
